EYEHAI TECHNOLOGIES LTD provides software and digital services that may include websites, web applications, school and business systems, workflow tools, product implementation, maintenance, support, and AI-powered features. The specific scope, timetable, deliverables, and fees for client work are defined in the applicable written agreement.
3. Software and product access
Product access may require an account, an active subscription, or an agreement with your organization. You must provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. Access rights are limited, non-transferable, and subject to the applicable plan or contract.
4. Acceptable use
You must not use our services to:
- Break the law or infringe another person's rights.
- Upload malicious code or interfere with service security.
- Attempt unauthorized access to accounts, systems, or data.
- Misrepresent your identity or submit unlawful or harmful content.
- Reverse engineer or resell a product except where expressly allowed.
- Use the service in a way that unreasonably disrupts other users.
5. Intellectual property
EYEHAI TECHNOLOGIES LTD and its licensors retain ownership of our software, product designs, trademarks, documentation, and reusable technology. Clients retain ownership of their content and data. Ownership and licence terms for custom deliverables are governed by the relevant written proposal or service agreement.
6. Client responsibilities
Clients are responsible for timely decisions, accurate instructions, lawful data collection, suitable permissions, and any content or materials they supply. Schools and businesses using our systems must manage their users, define appropriate access, and comply with laws and policies that apply to their records and operations.
7. Payments and subscriptions
Fees, billing dates, taxes, renewal terms, and any refund or cancellation arrangements are stated in the applicable quotation, invoice, checkout, subscription plan, or contract. Payments and online transactions may be processed through approved third-party payment providers. Late or failed payment may result in restricted or suspended access after reasonable notice where practicable.
8. Third-party services
Our services may connect to hosting, payment, communications, analytics, artificial intelligence, or other third-party services. Those services may have separate terms, availability, and privacy practices. We are not responsible for a third party's independent acts, systems, or service interruptions beyond our reasonable control.
9. Service availability and changes
We work to provide reliable services, but uninterrupted or error-free operation cannot be guaranteed. Maintenance, security events, network conditions, third-party failures, and other circumstances may affect availability. We may improve, modify, or discontinue features, while respecting any specific commitments in an active customer agreement.
10. Limitation of liability
To the extent permitted by applicable law, EYEHAI TECHNOLOGIES LTD is not liable for indirect, incidental, special, or consequential losses, including lost profits, lost opportunities, or loss caused by matters outside our reasonable control. Any direct liability is limited as set out in the applicable customer agreement. Nothing in these terms excludes liability that cannot lawfully be excluded.
11. Termination
You may stop using a service subject to any subscription or contract terms. We may suspend or terminate access for material breach, unlawful use, security risk, or non-payment. Where appropriate, we will provide notice and an opportunity to correct the issue. Terms concerning payment, ownership, confidentiality, and liability survive termination where their nature requires it.
12. Changes to these terms
We may update these terms when our services or legal obligations change. The effective date identifies the current version. Material changes affecting an active paid service will be communicated through a reasonable channel where required.
13. Governing law
These terms are governed by the laws of the Republic of Ghana, without limiting rights that applicable law does not permit the parties to waive. The parties should first attempt to resolve disputes in good faith before pursuing available legal remedies.
